ARTICLE I: MEMBERSHIP
Section A) Membership year
The membership year shall extend from the date of the annual spring conference through the date preceding the annual spring conference in the following year.
Section B) Regular membership
A candidate for regular membership must complete the proper forms and pay the established dues to the treasurer. Any regular member of the Council may vote, hold office, nominate candidates for office, serve on committees, or be delegate to any affiliate organizations to which have representation. Dues are payable on the first day of the membership year.
Section C) Associate membership
A candidate for associate membership must be a full-time student endorsed by a regular member; he/she must complete the proper forms and pay the established dues to the treasurer. Associate members may attend regular meetings or may be appointed as members of regular committees.
Section D) Honorary membership
A candidate for honorary membership is nominated by the President and approved by the Executive Board.
Section E) Emeritus membership
A retired member who was a charter member or had been a member for 10 years may be granted emeritus membership by the Executive Board. Emeritus members shall not be charged dues.
Section F) Charter membership
All regular members who became members prior to June 1, 1986.
ARTICLE II: DUTIES OF THE EXECUTIVE BOARD
The Executive Board shall perform the following duties:
- Approve the chairperson of each committee with the exception of the nominating committee;
- Approve all honorary and emeritus memberships;
- Determine annual dues;
- Recommend constitution changes to the Council;
- Determine convention sites;
- Approve the annual budget;
- Approve any expenditures not covered by the budget;
- Perform all other duties that are necessary for the functioning of the Council.
ARTICLE III: DUTIES OF THE OFFICERS
Section A) The President shall:
- Serve as the Chairperson of the Executive Board and exercise a voting option in the event of a tie;
- Name all committee chairpersons with the approval of the other Board members;
- Prepare the agenda for all Council and Executive Board meetings;
- Preside at all general meetings of the Council and the Executive Board;
- Perform all other duties that regularly pertain to the office of president.
Section B) The President-Elect shall:
- Assume duties of the President in case of his/her absence or resignation;
- Assume responsibility for the conference program;
- Perform other duties as determined by the Executive Board.
Section C) The Secretary shall:
- See that all members are notified of the Council meetings;
- Be responsible for official correspondence of the Council;
- Keep an accurate permanent record of the proceedings of meetings of the Council and Executive Board;
- Prepare all official ballots;
- Keep all ballots cast until certified by the Executive Board at its next meeting and report to all members the results of elections;
- Perform all other duties that regularly pertain to the office of secretary.
Section D) The Treasurer shall:
- Keep all financial reports of the organization and pay all bills;
- Collect the dues of the organization and keep a list of all members who have paid their dues;
- Give a report at each business meeting of the Council;
- Perform all other duties that regularly pertain to the office of treasurer.
Section E) The Past-President shall:
- Serve as chairperson of the nominating committee;
- Administer the election procedures.
- Perform all other duties that regularly pertain to the office of Past-President.
ARTICLE IV: RESPONSIBILITIES OF CHAIRPERSONS
The chairperson of each committee shall
- Chair the meetings of the committee;
- Coordinate the activities of the committee;
- Prepare the annual budget of the committee and submit it to the treasurer;
- Prepare the reports of the committee's activities and submit them to the President;
- Perform all other duties necessary for the committee to function.
ARTICLE V: COMMITTEES
Section A) Program Committee
The program committee shall organize, publicize, and administer the conference to be held each year.
Section B) Membership Committee
The membership committee shall maintain the membership lists and solicit new members.
Section C) Affiliations Liaison Committee
- The affiliation liaisons committee shall keep the membership posted on the activities of the organizations with which the council is affiliated;
- The committee shall recommend to the Executive Board delegates or representatives to affiliate organization when needed.
Section D) Nominating Committee
- The nominating committee shall establish election procedures for the annual election and recommend a slate of nominees for Executive Board approval.
- The nominating committee shall be chaired by the Past-President. If there is no active Past-President the chairperson shall be chosen by the Executive Board.
Section E) Newsletter Committee

The newsletter committee shall organize and publish the CMC3-South newsletter.
Section F) Publishers' Liaison Committee
- The publishers' liaison committee shall coordinate the
activities of the CMC3-South and publishers of educational materials
for CMC3-South's annual spring conference.
Section G) Registration Committee
- The registration committee shall process advance and on-site
registrations for the annual spring conference and fall and spring mini-conferences.
ARTICLE VI: ELIGIBILITY FOR OFFICE
- Any regular member of the council is eligible for the office of treasurer, secretary, or member-at-large.
- Any regular member of the council who has served on the Executive Board for at least one year is eligible for the office of president-elect.
ARTICLE VII: TERMS OF OFFICE
- The term of office for members of the Executive Board shall be two years.
Officers and chairs may be reelected or reappointed.
ARTICLE VIII: TERMINATION OF OFFICE
Section A)
Any Executive Board member who fails to fulfill the responsibilities of the office may be removed by a two-thirds vote of the Executive Board. Before such action may be taken the Executive, Board must give due written notification to the offending member and allow time for a full Executive Board hearing if requested.
Section B)
Any unexpired term shall be filled by the Executive Board.
ARTICLE IX: MEETINGS
CMC3 - South shall have at least one conference of the regular membership each year. The conference shall be announced to the membership at least three months in advance. Other meetings shall be announced at least one month in advance.
ARTICLE X: AFFILIATION
CMC3-SOUTH affiliation with another organization shall be proposed by the Executive Board and approved by the membership.
ARTICLE XI: AMENDMENTS
These bylaws may be amended by a majority of the members voting.
Section A)
The proposed amendment may be initiated by a majority vote of the Executive Board or by a petition signed by ten regular members.
Section B)
The Secretary shall include an explanation of the proposed amendment
with notice of a regular membership meeting. A simple majority vote of
those in attendance shall constitute ratification.
